Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Learn Aurora Limited ("Learn Aurora," "we," "us," or "our"), a company registered in England and Wales (Company No. 12345678) with its registered office at 25 Canary Wharf, London E14 5JP, United Kingdom.

By accessing or using our website (learn-aurora.com), services, or engaging with us in any capacity, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our services.

2. Description of Services

Learn Aurora provides interactive office solutions including but not limited to:

  • Office automation systems and software
  • Collaboration tools and platforms
  • Security solutions and implementations
  • System integration services
  • Consulting and support services
  • Training and educational resources

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

3. Eligibility and Registration

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding agreements
  • Provide accurate and complete information when requested
  • Maintain the confidentiality of your account credentials
  • Comply with all applicable laws and regulations

You are responsible for all activities that occur under your account and must notify us immediately of any unauthorized use.

4. Acceptable Use Policy

When using our services, you agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use our services for any unlawful or fraudulent purpose
  • Interfere with or disrupt our services or servers
  • Attempt to gain unauthorized access to our systems
  • Transmit harmful code, viruses, or malicious software

  • Reverse engineer or attempt to extract source code

5. Service Level Agreements

5.1 Availability

We strive to maintain 99.9% uptime for our core services, excluding scheduled maintenance periods. Maintenance will be performed during agreed-upon windows with advance notice.

5.2 Support

Support is provided during UK business hours (9:00 AM - 6:00 PM, Monday through Friday) with emergency support available 24/7 for critical issues affecting business operations.

5.3 Response Times

  • Critical Issues: 2 hours
  • High Priority: 4 hours
  • Medium Priority: 24 hours
  • Low Priority: 72 hours

6. Payment Terms

Payment terms vary by service and will be specified in your service agreement. General terms include:

  • Invoices are due within 30 days of receipt unless otherwise specified
  • Late payments may incur interest charges at 8% per annum above the Bank of England base rate
  • We reserve the right to suspend services for overdue accounts
  • All prices are exclusive of VAT unless stated otherwise
  • Price changes require 30 days' written notice

7. Intellectual Property Rights

7.1 Our Rights

All content, software, and materials provided by Learn Aurora remain our intellectual property or that of our licensors. This includes but is not limited to:

  • Software applications and source code
  • Documentation and training materials
  • Methodologies and processes
  • Trademarks, logos, and branding

7.2 Your Rights

Subject to payment and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use our services for your business purposes.

7.3 Customer Data

You retain ownership of your data and content. By using our services, you grant us a limited license to use your data solely for providing services to you.

8. Confidentiality

Both parties acknowledge that they may receive confidential information. We agree to:

  • Maintain the confidentiality of your business information
  • Use confidential information only for providing services
  • Implement appropriate security measures
  • Not disclose information to unauthorized third parties
  • Return or destroy confidential information upon request

9. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including UK GDPR and the Data Protection Act 2018. Key commitments include:

  • Processing data lawfully, fairly, and transparently
  • Implementing appropriate technical and organizational measures
  • Respecting your rights as a data subject
  • Notifying you of any data breaches as required by law

10. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
  • We shall not be liable for indirect, consequential, or punitive damages
  • We do not warrant that our services will be uninterrupted or error-free
  • Your sole remedy for dissatisfaction is to discontinue using our services

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or other matters that cannot be excluded by law.

11. Indemnification

You agree to indemnify and hold harmless Learn Aurora from any claims arising from:

  • Your use of our services in violation of these Terms
  • Your violation of any law or third-party rights
  • Your negligent or wrongful acts
  • Any content or data you provide to us

12. Termination

12.1 Termination by You

You may terminate your agreement with us at any time by providing 30 days' written notice.

12.2 Termination by Us

We may terminate or suspend your access immediately for:

  • Breach of these Terms
  • Non-payment of fees
  • Illegal or harmful activities
  • Extended inactivity

12.3 Effect of Termination

Upon termination, we will provide reasonable assistance with data migration for a period of 30 days, after which we may delete your data in accordance with our data retention policies.

13. Force Majeure

Neither party shall be liable for any failure to perform due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, government actions, strikes, or cyber attacks.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the original provision.
